Booking Referral Agency Description & Disclaimer

1.1 Who We Are

The Character Squad (the “Company,” “we,” “us,” or “our”) is a trade name of Character Squad LLC, with its principal place of business at 500 East Hamilton Ave #1032, Campbell, CA 95008. You can call or text us at 408-409-5730.

1.2 We Are a Booking Referral Agency Only

The Company operates solely as a booking referral agency. We provide an online and telephone referral service that helps customers (“you” or “Customer”) locate and connect with independent, third-party character performers, face painters, balloon artists, and similar entertainers (each, a “Performer”) for birthday parties, school events, corporate events, and other occasions in the San Francisco Bay Area.

We do not provide entertainment services ourselves. We do not perform at events, and we do not own, rent, or supply costumes. We do not employ, engage, or contract with Performers to perform services for Customers. Any entertainment services are provided by the Performer directly to the Customer.

1.3 How Payment Works

• You pay the Performer directly. The Performer’s fee for the performance is agreed between you and the Performer and is paid by you directly to the Performer after the performance, using a payment method the Performer accepts (for example, cash, Venmo, Zelle, or check).
• The Company does not collect, hold, or process payment for performances. We are not a party to the payment between you and the Performer, and we do not act as a payment agent or escrow for either party.
• Referral fee (if any). If the Company charges a booking referral fee, it is shown in your booking summary and Confirmation before you pay, is disclosed to you before you confirm a booking, is charged only for the referral service, and is governed by our Cancellation Policy (Part 3). The referral fee is not a deposit toward, or a part of, the Performer’s fee.
• Rates shown on our website are informational. Any prices shown on our website are typical rates that participating Performers have told us they charge. Each Performer sets and may change their own rates. The final price is the price the Performer agrees with you.

1.4 Performers Are Independent and Not Our Employees or Contractors

Performers are independent businesspeople who operate their own businesses. Performers are not employees, independent contractors, agents, joint venturers, partners, or representatives of the Company. No employment, agency, partnership, joint venture, franchise, or fiduciary relationship exists between the Company and any Performer, or between the Company and any Customer, because of a referral. Performers are free to accept or decline any referral, to set their own rates, hours, and terms, to use their own costumes, props, and equipment, to perform under their own names, and to provide services to customers outside of our referral service.

1.5 No Control, Supervision, or Guarantee

The Company does not control, direct, supervise, train, or schedule Performers, and does not control the manner, means, content, or quality of any performance. We do not guarantee that any Performer will appear, arrive on time, perform to your satisfaction, resemble any character, or meet any particular standard. Any description of a Performer, character, or activity on our website is based on information provided by the Performer and is provided for convenience only.

1.6 Performer Responsibilities

Each Performer is solely responsible for:

• their own conduct, statements, and performance at your event;
• their costumes, wigs, makeup, face paint, balloons, props, and equipment, including the safety, cleanliness, and suitability of products used on children’s skin or hair;
• all taxes, business licenses, permits, and registrations required for their business;
• their own general liability insurance and any other insurance they choose or are required to carry;
• complying with all applicable laws, including laws concerning conduct around minors; and
• their own cancellation, rescheduling, and payment terms with you.

1.7 Limitation of Liability

To the fullest extent permitted by California law, the Company is not liable for the acts, omissions, errors, misrepresentations, negligence, or misconduct of any Performer, Customer, guest, venue, or other third party, or for any personal injury, property damage, loss, or claim arising out of any performance or event. The Company’s total liability to you for any claim arising out of the referral service is limited to the amount of any referral fee you paid to the Company for the booking at issue (or $100 if no fee was paid). Nothing in this disclaimer limits liability that cannot be limited under California law. This includes liability for the Company’s own fraud, willful injury, gross negligence, or violation of law (Cal. Civ. Code §1668). See Section 16 of the Terms and Conditions.

1.8 Character and Intellectual Property Notice

The Company and the Performers are not affiliated with, sponsored by, licensed by, or endorsed by The Walt Disney Company, Marvel Entertainment, Lucasfilm Ltd., Warner Bros. Discovery, DC Comics, Nickelodeon, Mattel, Nintendo, SEGA, Mojang/Microsoft, The Pokémon Company, Netflix, Sony Pictures Animation, Spin Master, Ludo Studio/BBC Studios, or any other owner of character names, trademarks, or copyrights mentioned on our website. All character names and trademarks belong to their respective owners. Costumes and performances are generic, “inspired by” interpretations created by independent Performers. They are not official, licensed, or authorized appearances. References such as “Ice Queen (Elsa-inspired)” describe a requested theme only. Images on our website are concept illustrations and do not depict actual Performers or costumes.

1.9 Your Agreement

By requesting a referral or booking through our website, by phone, or by message, you acknowledge that you have read and understood this Disclaimer and agree to our Terms and Conditions, Cancellation Policy, and Privacy Policy.
